By creating an account on, accessing, or using Dental Now (the "Service"), you ("User," "you," or "your") acknowledge that you have read, understood, and agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you must not use the Service.
These Terms constitute a legally binding agreement between you and Samuel Wachira, d/b/a Dental Now ("Dental Now," "we," "us," or "our"), a sole proprietorship based in Massachusetts. Your use of the Service is also governed by our Privacy Policy and Consumer Health Data Privacy Policy, which are incorporated herein by reference.
Dental Now is a neutral technology platform and marketplace. We do not employ, refer, recommend, endorse, or guarantee any dentist, provider, or practice, and we do not practice dentistry or provide medical or dental advice. Providers listed on the platform are independent third parties solely responsible for the care, services, and conduct they provide. Your selection of and relationship with any provider is solely between you and that provider. Dental Now is not a party to the patient-provider relationship and is not responsible for any care, services, or outcomes provided by any dental provider.
Dental Now:
Verification badges. Where the platform displays a verification indicator (such as an NPI-verified or license-checked badge), that indicator means only that Dental Now checked the specified records (for example, a National Provider Identifier in the NPPES registry, or a state license record) as of the date shown. Verification badges are not a guarantee of a provider's qualifications, current licensure status, fitness to practice, quality of care, or suitability for any patient. Dental Now does not continuously monitor provider licensure status. Providers remain solely responsible for maintaining valid licensure and promptly notifying us of any change.
Additionally, the Service provides a student shadowing program that connects pre-dental and dental students with dental providers for clinical observation experiences, and an advisor portal for pre-dental program advisors. In each case, Dental Now acts only as a neutral platform facilitating connections; it does not supervise, place, employ, or control the activities of any user.
To use the Service, you must: (a) be at least 18 years of age, or have the consent of a parent or legal guardian who agrees to be bound by these Terms on your behalf; (b) be located in the United States; (c) have the legal capacity to enter into a binding agreement; and (d) not be a person barred from using the Service under the laws of the United States or any applicable jurisdiction.
By using the Service, you represent and warrant that you meet all eligibility requirements. If you are using the Service on behalf of a minor, you accept these Terms on their behalf and are responsible for their use.
To access certain features of the Service, you must register for an account. When registering, you agree to: (a) provide accurate, current, and complete information; (b) maintain and promptly update your account information to keep it accurate and complete; (c) maintain the security and confidentiality of your login credentials; (d) accept responsibility for all activities that occur under your account; and (e) immediately notify us of any unauthorized use of your account.
You may not share your account credentials with any third party. Dental Now reserves the right to suspend or terminate any account that we reasonably believe has been compromised or is being used in violation of these Terms.
The Service supports four user roles, each with distinct responsibilities:

Dental Now does NOT provide medical or dental advice, diagnosis, or treatment. The Service is a technology platform that facilitates connections between patients and dental providers. Any information presented on the platform, including provider profiles, visit reasons, and general descriptions, is for informational purposes only and should not be construed as professional medical or dental advice. Always consult a licensed dental professional for any dental concern.
Booking — your choice, your risk. You select and book with dental providers of your own choosing. Any care you receive is solely between you and that provider; Dental Now is not a party to the patient-provider relationship and is not responsible for the provider's services, conduct, or outcomes.
Shadowing. Shadowing observations take place at the host dental practice. The host practice is solely responsible for: (a) obtaining any patient's consent to be observed; (b) supervising the student while on-site; (c) maintaining a safe clinical environment; and (d) carrying appropriate professional liability and insurance coverage. Students observe at their own risk, agree to follow the host practice's rules and dress code, and agree to keep all patient information strictly confidential. Dental Now only records the hours that the student and the host provider both independently confirm; Dental Now does not supervise, place, or control shadowing activities.
All clinical decisions, diagnoses, treatment plans, and dental care are the sole responsibility of the dental provider you visit. Never disregard professional dental advice or delay in seeking it because of something you have read or seen on the Service.
When you submit an appointment request through the Service, you understand and agree that:
The Service may offer a waitlist feature that allows patients to indicate interest in appointment slots that are not currently available. By joining a waitlist, you understand that:
The Dental Now platform is currently provided free of charge to both patients and providers. We reserve the right to introduce fees for use of the Service, or for premium features, at any time with at least 30 days' prior written notice.
Any fees charged by dental providers for dental services are solely between the patient and the provider. Dental Now does not process payments for dental care, does not set provider fees, and is not a party to the financial relationship between patients and providers. Disputes regarding payment for dental services must be resolved directly between the patient and provider.
The Service, including but not limited to all software, code, design, text, graphics, logos, trademarks, service marks, trade names, images, and other content (collectively, "Dental Now Content"), is the exclusive property of Dental Now or its licensors and is protected by United States and international copyright, trademark, patent, trade secret, and other intellectual property or proprietary rights laws.
You are granted a limited, non-exclusive, non-transferable, revocable license to access and use the Service for its intended purpose, subject to these Terms. You may not copy, modify, distribute, sell, lease, or create derivative works based on any Dental Now Content without our prior written consent.
You retain ownership of any content you submit, post, or transmit through the Service ("User Content"), including profile information, appointment notes, and reviews. By submitting User Content, you grant Dental Now a worldwide, non-exclusive, royalty-free, sublicensable, and transferable license to use, reproduce, modify, display, and distribute your User Content solely as necessary to operate, improve, and provide the Service.
You represent and warrant that you own or have the necessary rights to submit your User Content, and that your User Content does not violate the rights of any third party. Dental Now reserves the right to remove any User Content that violates these Terms or is otherwise objectionable, in our sole discretion.
You agree not to engage in any of the following prohibited activities:
Your use of the Service is subject to our Privacy Policy, which describes how we collect, use, share, and protect your information. To the extent we handle health-related information you submit, we protect it consistent with applicable law, including HIPAA where it applies.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. DENTAL NOW EXPRESSLY DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.
WITHOUT LIMITING THE FOREGOING, DENTAL NOW DOES NOT WARRANT THAT: (A) THE SERVICE WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE; (B) THE RESULTS OBTAINED FROM THE USE OF THE SERVICE WILL BE ACCURATE OR RELIABLE; (C) THE QUALITY OF ANY PROVIDERS, SERVICES, INFORMATION, OR OTHER MATERIAL OBTAINED THROUGH THE SERVICE WILL MEET YOUR EXPECTATIONS; (D) ANY ERRORS IN THE SERVICE WILL BE CORRECTED; OR (E) THE SERVICE WILL BE COMPATIBLE WITH ANY PARTICULAR HARDWARE OR SOFTWARE.
DENTAL NOW MAKES NO WARRANTIES OR REPRESENTATIONS REGARDING THE QUALIFICATIONS, COMPETENCE, QUALITY OF CARE, OR LICENSURE STATUS OF ANY DENTAL PROVIDER LISTED ON THE PLATFORM. WHILE WE REQUIRE PROVIDERS TO SUBMIT LICENSE AND NPI INFORMATION, WE DO NOT INDEPENDENTLY VERIFY THE QUALITY OF CARE PROVIDED AND ARE NOT RESPONSIBLE FOR ANY ACTS OR OMISSIONS OF DENTAL PROVIDERS.
YOU ACKNOWLEDGE THAT YOUR USE OF THE SERVICE IS AT YOUR SOLE RISK. NO ADVICE OR INFORMATION, WHETHER ORAL OR WRITTEN, OBTAINED BY YOU FROM DENTAL NOW OR THROUGH THE SERVICE SHALL CREATE ANY WARRANTY NOT EXPRESSLY STATED IN THESE TERMS.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL DENTAL NOW (SAMUEL WACHIRA, D/B/A DENTAL NOW), ITS EMPLOYEES, AGENTS, AFFILIATES, SUCCESSORS, OR ASSIGNS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO DAMAGES FOR LOSS OF PROFITS, GOODWILL, USE, DATA, OR OTHER INTANGIBLE LOSSES (EVEN IF DENTAL NOW HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES), ARISING OUT OF OR IN CONNECTION WITH:
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE TOTAL AGGREGATE LIABILITY OF DENTAL NOW (SAMUEL WACHIRA, D/B/A DENTAL NOW) TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THE USE OF OR INABILITY TO USE THE SERVICE SHALL NOT EXCEED THE GREATER OF: (A) ONE HUNDRED U.S. DOLLARS ($100.00); OR (B) THE TOTAL AMOUNT YOU HAVE PAID TO DENTAL NOW IN THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM.
THE LIMITATIONS IN THIS SECTION APPLY REGARDLESS OF THE THEORY OF LIABILITY, WHETHER BASED ON WARRANTY, CONTRACT, STATUTE, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY, OR ANY OTHER LEGAL THEORY, AND WHETHER OR NOT DENTAL NOW HAS BEEN INFORMED OF THE POSSIBILITY OF SUCH DAMAGE. SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF CERTAIN DAMAGES, SO SOME OF THE ABOVE LIMITATIONS MAY NOT APPLY TO YOU.
Unwaivable liability. NOTHING IN THIS SECTION 19 LIMITS OR EXCLUDES DENTAL NOW'S LIABILITY FOR: (A) FRAUD OR FRAUDULENT MISREPRESENTATION; (B) GROSS NEGLIGENCE OR WILLFUL MISCONDUCT BY DENTAL NOW; OR (C) DEATH OR PERSONAL INJURY CAUSED BY DENTAL NOW'S OWN NEGLIGENCE, WHERE SUCH LIMITATION IS PROHIBITED BY APPLICABLE LAW. This carve-out is included because certain limitations on liability cannot be waived under applicable law; its inclusion is what allows the remainder of this section to remain enforceable.
User indemnification. You agree to indemnify, defend, and hold harmless Dental Now (Samuel Wachira, d/b/a Dental Now) and its employees, agents, affiliates, successors, and assigns from and against any and all claims, liabilities, damages, losses, costs, expenses, and fees (including reasonable attorneys' fees) arising out of or relating to: (a) your use or misuse of the Service; (b) your violation of these Terms; (c) your violation of any rights of any third party, including privacy rights and intellectual property rights; (d) any dispute between you and a dental provider or another user of the Service; (e) any User Content you submit, post, or transmit through the Service; (f) your booking requests or shadowing requests; or (g) your conduct in connection with the Service, including on-site at a host dental practice.
Provider indemnification. By listing on and using the Service, each dental provider represents and warrants that they hold an active, unrestricted dental license in good standing in every jurisdiction where they practice, and that all profile information they submit is accurate, complete, and not misleading. Providers agree to indemnify and hold harmless Dental Now from any claim, liability, or expense arising out of: (a) a breach of these representations or warranties; (b) the provider's professional services, conduct, or omissions in the care of any patient; or (c) any inaccurate or misleading information the provider submits to the platform.
Dental Now reserves the right, at the indemnifying party's expense, to assume the exclusive defense and control of any matter subject to indemnification, and the indemnifying party agrees to cooperate with our defense of such claims. No matter subject to indemnification may be settled without Dental Now's prior written consent.
Informal resolution first — 60-day requirement. Before initiating any formal dispute resolution proceeding (including arbitration), you agree to first send a written notice of your dispute to Dental Now at admin@dentalnow.io describing your claim and the relief you seek. Dental Now will send a similar notice before initiating a proceeding against you. Both parties agree to negotiate in good faith for at least sixty (60) days after the notice is received before either party initiates formal proceedings. This informal-resolution step is a condition precedent to arbitration or litigation.
Binding individual arbitration. If a dispute is not resolved informally within 60 days, any dispute, claim, or controversy arising out of or relating to these Terms or the Service (a "Dispute") shall be resolved exclusively by final and binding arbitration administered by the American Arbitration Association ("AAA") under its Consumer Arbitration Rules (available at www.adr.org). The arbitration shall be conducted by a single neutral arbitrator, in the English language. The arbitrator's decision is final and binding and may be entered as a judgment in any court of competent jurisdiction.
CLASS-ACTION AND CLASS-ARBITRATION WAIVER. YOU AND DENTAL NOW AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF, CLAIMANT, OR CLASS MEMBER IN ANY PURPORTED CLASS ACTION, CLASS ARBITRATION, CONSOLIDATED, REPRESENTATIVE, OR PRIVATE ATTORNEY GENERAL PROCEEDING. THE ARBITRATOR MAY NOT CONSOLIDATE MORE THAN ONE PERSON'S OR PARTY'S CLAIMS, MAY NOT PRESIDE OVER ANY FORM OF CLASS OR REPRESENTATIVE PROCEEDING, AND MAY NOT AWARD CLASS-WIDE RELIEF. IF THIS SPECIFIC PROVISION IS FOUND UNENFORCEABLE, THEN THE ENTIRETY OF THIS ARBITRATION SECTION SHALL BE NULL AND VOID AND THE PARTIES AGREE TO RESOLVE DISPUTES IN COURT AS PROVIDED BELOW.
30-day arbitration opt-out. You may opt out of this arbitration agreement by sending a written notice to admin@dentalnow.io within thirty (30) days of the date you first create an account or first accept these Terms, whichever is earlier. Your opt-out notice must include your name, the email address associated with your account, and a statement that you opt out of the arbitration agreement. If you opt out, neither party will be required to arbitrate Disputes; the governing-law and venue provisions below will apply. Opting out will not affect any other provision of these Terms.
Small-claims court carve-out. Notwithstanding the arbitration agreement, either party may bring an individual action in a small-claims court for Disputes within that court's jurisdiction and subject-matter limits, provided the action remains in individual (non-class) form.
Governing law and venue. These Terms and any Disputes shall be governed by and construed in accordance with the laws of the Commonwealth of Massachusetts, without regard to conflict-of-law principles. To the extent that a Dispute is not subject to arbitration (including if you validly opt out), you consent to the exclusive jurisdiction and venue of the state and federal courts located in the Commonwealth of Massachusetts.
Severability of arbitration clause. If any portion of this Section 21 other than the class-action waiver is found unenforceable, the remainder of this section shall continue in effect. If the class-action waiver is found unenforceable, the entire arbitration section shall be null and void, and any Dispute shall be resolved in court.
By Dental Now: We may suspend or terminate your account and access to the Service at any time, with or without cause, and with or without notice, including but not limited to cases where we reasonably believe you have violated these Terms, engaged in fraudulent or illegal activity, or posed a risk to other users or the integrity of the Service.
By You: You may delete your account at any time by contacting us at admin@dentalnow.io or through the account settings in the app. Upon termination, your right to use the Service will immediately cease.
Effect of Termination: Upon termination, the following sections survive and remain in full force and effect: Section 2 (Neutral Marketplace disclaimer and badge language), Section 10 (No Medical Advice; Assumption of Risk), Section 14 (Intellectual Property), Section 15 (User Content license), Section 18 (Disclaimer of Warranties), Section 19 (Limitation of Liability, including the unwaivable carve-out), Section 20 (Indemnification), Section 21 (Dispute Resolution; Binding Arbitration; Class-Action Waiver), Section 24 (Severability), and Section 25 (Entire Agreement).
Termination of your account does not relieve you of any obligation to pay any outstanding amounts owed, if applicable. Data retention following termination is governed by our Privacy Policy.
Dental Now reserves the right to modify or replace these Terms at any time. If a revision is material, we will provide at least thirty (30) days' notice prior to the new terms taking effect, via in-app notification or email to the address associated with your account.
Your continued use of the Service after the effective date of any revised Terms constitutes your acceptance of the changes. If you do not agree to the revised Terms, you must stop using the Service and may delete your account.
If any provision of these Terms is held to be invalid, illegal, or unenforceable by a court or arbitrator of competent jurisdiction, such provision shall be modified to the minimum extent necessary to make it valid and enforceable, or if modification is not possible, shall be severed from these Terms. The invalidity or unenforceability of any provision shall not affect the validity or enforceability of the remaining provisions, which shall continue in full force and effect.
These Terms of Service, together with the Privacy Policy and the Consumer Health Data Privacy Policy, constitute the entire agreement between you and Dental Now with respect to the Service, and supersede all prior or contemporaneous communications, proposals, and agreements, whether electronic, oral, or written, between you and Dental Now regarding the Service.
Any failure by Dental Now to exercise or enforce any right or provision of these Terms shall not constitute a waiver of such right or provision.
Dental Now shall not be liable for any failure or delay in performing its obligations under these Terms where such failure or delay results from events beyond our reasonable control, including but not limited to: acts of God, natural disasters, pandemics, epidemics, government actions or orders, war, terrorism, riots, civil unrest, labor disputes, power failures, internet or telecommunications failures, cyberattacks, or any other force majeure event. During any such event, our obligations under these Terms shall be suspended to the extent affected for the duration of the event.
Dental Now may assign, transfer, or delegate any of its rights and obligations under these Terms without your consent, including in connection with a merger, acquisition, reorganization, or sale of all or substantially all of our assets. You may not assign, transfer, or delegate your rights or obligations under these Terms without our prior written consent. Any attempted assignment in violation of this provision shall be null and void.
