By creating an account on, accessing, or using Dental Now (the "Service"), you ("User," "you," or "your") acknowledge that you have read, understood, and agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you must not use the Service.
These Terms constitute a legally binding agreement between you and Dental Now, Inc. ("Dental Now," "we," "us," or "our"), a Delaware corporation. Your use of the Service is also governed by our Privacy Policy and HIPAA Notice of Privacy Practices, which are incorporated herein by reference.
Dental Now is a technology platform that connects patients seeking dental care with licensed dental providers who offer appointment availability through the platform. The Service facilitates the discovery, scheduling, and management of dental appointments. Additionally, the Service provides a student shadowing program that connects pre-dental and dental students with dental providers for clinical observation experiences, and an advisor portal for pre-dental program advisors.
Dental Now is NOT a healthcare provider. We do not employ dentists, do not provide dental care, and do not exercise any control over the diagnosis, treatment, or clinical decisions of any dental provider listed on the platform. Dental providers on Dental Now are independent practitioners, not employees or agents of Dental Now, Inc.
To use the Service, you must: (a) be at least 18 years of age, or have the consent of a parent or legal guardian who agrees to be bound by these Terms on your behalf; (b) be located in the United States; (c) have the legal capacity to enter into a binding agreement; and (d) not be a person barred from using the Service under the laws of the United States or any applicable jurisdiction.
By using the Service, you represent and warrant that you meet all eligibility requirements. If you are using the Service on behalf of a minor, you accept these Terms on their behalf and are responsible for their use.
To access certain features of the Service, you must register for an account. When registering, you agree to: (a) provide accurate, current, and complete information; (b) maintain and promptly update your account information to keep it accurate and complete; (c) maintain the security and confidentiality of your login credentials; (d) accept responsibility for all activities that occur under your account; and (e) immediately notify us of any unauthorized use of your account.
You may not share your account credentials with any third party. Dental Now reserves the right to suspend or terminate any account that we reasonably believe has been compromised or is being used in violation of these Terms.
The Service supports four user roles, each with distinct responsibilities:

Dental Now does NOT provide medical or dental advice, diagnosis, or treatment. The Service is a technology platform that facilitates connections between patients and dental providers. Any information presented on the platform, including provider profiles, visit reasons, and general descriptions, is for informational purposes only and should not be construed as professional medical or dental advice.
All clinical decisions, diagnoses, treatment plans, and dental care are the sole responsibility of the dental provider you visit. You should always seek the advice of a qualified dental professional with any questions regarding a dental condition. Never disregard professional dental advice or delay in seeking it because of something you have read or seen on the Service.
When you submit an appointment request through the Service, you understand and agree that:
The Service may offer a waitlist feature that allows patients to indicate interest in appointment slots that are not currently available. By joining a waitlist, you understand that:
The Dental Now platform is currently provided free of charge to both patients and providers. We reserve the right to introduce fees for use of the Service, or for premium features, at any time with at least 30 days' prior written notice.
Any fees charged by dental providers for dental services are solely between the patient and the provider. Dental Now does not process payments for dental care, does not set provider fees, and is not a party to the financial relationship between patients and providers. Disputes regarding payment for dental services must be resolved directly between the patient and provider.
The Service, including but not limited to all software, code, design, text, graphics, logos, trademarks, service marks, trade names, images, and other content (collectively, "Dental Now Content"), is the exclusive property of Dental Now, Inc. or its licensors and is protected by United States and international copyright, trademark, patent, trade secret, and other intellectual property or proprietary rights laws.
You are granted a limited, non-exclusive, non-transferable, revocable license to access and use the Service for its intended purpose, subject to these Terms. You may not copy, modify, distribute, sell, lease, or create derivative works based on any Dental Now Content without our prior written consent.
You retain ownership of any content you submit, post, or transmit through the Service ("User Content"), including profile information, appointment notes, and reviews. By submitting User Content, you grant Dental Now a worldwide, non-exclusive, royalty-free, sublicensable, and transferable license to use, reproduce, modify, display, and distribute your User Content solely as necessary to operate, improve, and provide the Service.
You represent and warrant that you own or have the necessary rights to submit your User Content, and that your User Content does not violate the rights of any third party. Dental Now reserves the right to remove any User Content that violates these Terms or is otherwise objectionable, in our sole discretion.
You agree not to engage in any of the following prohibited activities:
Your use of the Service is subject to our Privacy Policy, which describes how we collect, use, share, and protect your information, including Protected Health Information (PHI) as defined under the Health Insurance Portability and Accountability Act of 1996 (HIPAA).
You also acknowledge receipt of our HIPAA Notice of Privacy Practices, which describes your rights under HIPAA and how your PHI may be used and disclosed for treatment, payment, and healthcare operations purposes.
By using the Service, you consent to the collection and use of your information as described in the Privacy Policy and HIPAA Notice of Privacy Practices.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. DENTAL NOW, INC. EXPRESSLY DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.
WITHOUT LIMITING THE FOREGOING, DENTAL NOW DOES NOT WARRANT THAT: (A) THE SERVICE WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE; (B) THE RESULTS OBTAINED FROM THE USE OF THE SERVICE WILL BE ACCURATE OR RELIABLE; (C) THE QUALITY OF ANY PROVIDERS, SERVICES, INFORMATION, OR OTHER MATERIAL OBTAINED THROUGH THE SERVICE WILL MEET YOUR EXPECTATIONS; (D) ANY ERRORS IN THE SERVICE WILL BE CORRECTED; OR (E) THE SERVICE WILL BE COMPATIBLE WITH ANY PARTICULAR HARDWARE OR SOFTWARE.
DENTAL NOW MAKES NO WARRANTIES OR REPRESENTATIONS REGARDING THE QUALIFICATIONS, COMPETENCE, QUALITY OF CARE, OR LICENSURE STATUS OF ANY DENTAL PROVIDER LISTED ON THE PLATFORM. WHILE WE REQUIRE PROVIDERS TO SUBMIT LICENSE AND NPI INFORMATION, WE DO NOT INDEPENDENTLY VERIFY THE QUALITY OF CARE PROVIDED AND ARE NOT RESPONSIBLE FOR ANY ACTS OR OMISSIONS OF DENTAL PROVIDERS.
YOU ACKNOWLEDGE THAT YOUR USE OF THE SERVICE IS AT YOUR SOLE RISK. NO ADVICE OR INFORMATION, WHETHER ORAL OR WRITTEN, OBTAINED BY YOU FROM DENTAL NOW OR THROUGH THE SERVICE SHALL CREATE ANY WARRANTY NOT EXPRESSLY STATED IN THESE TERMS.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL DENTAL NOW, INC., ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AFFILIATES, SUCCESSORS, OR ASSIGNS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO DAMAGES FOR LOSS OF PROFITS, GOODWILL, USE, DATA, OR OTHER INTANGIBLE LOSSES (EVEN IF DENTAL NOW HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES), ARISING OUT OF OR IN CONNECTION WITH:
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE TOTAL AGGREGATE LIABILITY OF DENTAL NOW, INC. TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THE USE OF OR INABILITY TO USE THE SERVICE SHALL NOT EXCEED THE GREATER OF: (A) ONE HUNDRED U.S. DOLLARS ($100.00); OR (B) THE TOTAL AMOUNT YOU HAVE PAID TO DENTAL NOW, INC. IN THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM.
THE LIMITATIONS IN THIS SECTION APPLY REGARDLESS OF THE THEORY OF LIABILITY, WHETHER BASED ON WARRANTY, CONTRACT, STATUTE, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY, OR ANY OTHER LEGAL THEORY, AND WHETHER OR NOT DENTAL NOW HAS BEEN INFORMED OF THE POSSIBILITY OF SUCH DAMAGE. SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF CERTAIN DAMAGES, SO SOME OF THE ABOVE LIMITATIONS MAY NOT APPLY TO YOU.
You agree to indemnify, defend, and hold harmless Dental Now, Inc. and its officers, directors, employees, agents, affiliates, successors, and assigns from and against any and all claims, liabilities, damages, losses, costs, expenses, and fees (including reasonable attorneys' fees) arising out of or relating to: (a) your use of the Service; (b) your violation of these Terms; (c) your violation of any rights of any third party; (d) any dispute between you and a dental provider or another user; or (e) any User Content you submit, post, or transmit through the Service.
Dental Now reserves the right, at your expense, to assume the exclusive defense and control of any matter for which you are required to indemnify us, and you agree to cooperate with our defense of such claims. You agree not to settle any matter without the prior written consent of Dental Now, Inc.
Informal Resolution: Before initiating any formal dispute resolution proceeding, you agree to first contact us at admin@dentalnow.io and attempt to resolve the dispute informally for at least thirty (30) days. Most disputes can be resolved without resort to formal proceedings.
Binding Arbitration: If we are unable to resolve a dispute informally within 30 days, any dispute, claim, or controversy arising out of or relating to these Terms or the Service (collectively, "Disputes") shall be resolved exclusively by final and binding arbitration administered by the American Arbitration Association ("AAA") under its Consumer Arbitration Rules. The arbitration shall be conducted by a single arbitrator, in the English language, and shall take place in the State of Delaware or, at your election, by telephone, video conference, or based on written submissions.
Class Action Waiver: YOU AND DENTAL NOW AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, CONSOLIDATED, OR REPRESENTATIVE PROCEEDING. Unless both you and Dental Now agree otherwise, the arbitrator may not consolidate or join more than one person's or party's claims and may not otherwise preside over any form of a consolidated, representative, or class proceeding.
Small Claims Exception: Notwithstanding the foregoing, either party may bring an individual action in small claims court for Disputes within the jurisdiction of such court.
Governing Law: These Terms and any Disputes shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of law principles. To the extent that litigation is permitted under these Terms, you consent to the exclusive jurisdiction and venue of the state and federal courts located in the State of Delaware.
By Dental Now: We may suspend or terminate your account and access to the Service at any time, with or without cause, and with or without notice, including but not limited to cases where we reasonably believe you have violated these Terms, engaged in fraudulent or illegal activity, or posed a risk to other users or the integrity of the Service.
By You: You may delete your account at any time by contacting us at admin@dentalnow.io or through the account settings in the app. Upon termination, your right to use the Service will immediately cease.
Effect of Termination: Upon termination, Sections 14 (Intellectual Property), 15 (User Content license), 18 (Disclaimer of Warranties), 19 (Limitation of Liability), 20 (Indemnification), 21 (Dispute Resolution), 24 (Severability), and 25 (Entire Agreement) shall survive and remain in full force and effect.
Termination of your account does not relieve you of any obligation to pay any outstanding amounts owed, if applicable. Data retention following termination is governed by our Privacy Policy.
Dental Now reserves the right to modify or replace these Terms at any time. If a revision is material, we will provide at least thirty (30) days' notice prior to the new terms taking effect, via in-app notification or email to the address associated with your account.
Your continued use of the Service after the effective date of any revised Terms constitutes your acceptance of the changes. If you do not agree to the revised Terms, you must stop using the Service and may delete your account.
If any provision of these Terms is held to be invalid, illegal, or unenforceable by a court or arbitrator of competent jurisdiction, such provision shall be modified to the minimum extent necessary to make it valid and enforceable, or if modification is not possible, shall be severed from these Terms. The invalidity or unenforceability of any provision shall not affect the validity or enforceability of the remaining provisions, which shall continue in full force and effect.
These Terms of Service, together with the Privacy Policy and the HIPAA Notice of Privacy Practices, constitute the entire agreement between you and Dental Now, Inc. with respect to the Service, and supersede all prior or contemporaneous communications, proposals, and agreements, whether electronic, oral, or written, between you and Dental Now regarding the Service.
Any failure by Dental Now to exercise or enforce any right or provision of these Terms shall not constitute a waiver of such right or provision.
Dental Now shall not be liable for any failure or delay in performing its obligations under these Terms where such failure or delay results from events beyond our reasonable control, including but not limited to: acts of God, natural disasters, pandemics, epidemics, government actions or orders, war, terrorism, riots, civil unrest, labor disputes, power failures, internet or telecommunications failures, cyberattacks, or any other force majeure event. During any such event, our obligations under these Terms shall be suspended to the extent affected for the duration of the event.
Dental Now may assign, transfer, or delegate any of its rights and obligations under these Terms without your consent, including in connection with a merger, acquisition, reorganization, or sale of all or substantially all of our assets. You may not assign, transfer, or delegate your rights or obligations under these Terms without our prior written consent. Any attempted assignment in violation of this provision shall be null and void.
